This Privacy Policy explains how Matterfact Inc. (“Matterfact,” “we,” “us,” or “our”) collects, uses, discloses, and protects Personal Data when you visit our websites or use our products and services (collectively, the “Service”). It also explains your rights and choices.

Matterfact provides AI-enabled software that helps organizations analyze and search documents and data to answer questions and generate outputs. This Privacy Policy is written primarily for business and professional users.

## 1) Scope and Roles

1.1 Website Visitors and Prospects

When you visit our website or interact with us as a prospect (e.g., request a demo), Matterfact generally acts as the “controller” (or equivalent) of your Personal Data.

### 1.2 Customer Accounts

When our business customers use the Service and submit or connect data (including documents, prompts, datasets, and integration data), the business customer is typically the “controller” (or equivalent) of that data and Matterfact acts as the “processor” (or equivalent), processing data on the customer’s instructions.
Where applicable, a separate Data Processing Addendum (“DPA”) governs our processing of Personal Data for business customers.

## 2) Definitions

“Personal Data” means information that identifies, relates to, describes, or could reasonably be linked to an individual. “Customer Content” means data submitted to the Service by or on behalf of a customer, including documents, prompts/queries, datasets, metadata, and configurations. “Outputs” means results produced by the Service in response to Customer Content (e.g., summaries, extracted fields, answers, analytics).

“Google User Data” means data obtained from Google APIs (including Google Workspace APIs) through permissions granted by a user or administrator.

## 3) Personal Data We Collect

We collect Personal Data from (a) you, (b) your employer/administrator, (c) your device/browser, and (d) third parties.

### 3.1 Data you provide directly

Examples include:
* Name, work email, work phone number, job title, employer name
* Account credentials and authentication information (as applicable)
* Communications and support requests (e.g., emails to support, chat messages)
* Billing/contact details (typically business contact information)

### 3.2 Data collected automatically (usage, device, and log data)

Examples include:
* IP address, approximate region (derived from IP), browser type/version, device identifiers
* Pages/features used, timestamps, referral URLs, performance and diagnostic data
* Security logs (e.g., login events, access attempts)

### 3.3 Customer Content may include Personal Data

Customer Content can include Personal Data if a customer uploads or connects documents or datasets that contain it. Matterfact does not require customers to upload sensitive personal data to use the Service.

### 3.4 Data from third parties

Examples include:
* Professional profile data (e.g., business contact details from LinkedIn or other business sources) when permitted by law
* Integration partners (e.g., identity providers, single sign-on providers), as enabled by the customer

## 4) How We Use Personal Data

We use Personal Data for the following purposes:

### 4.1 Provide and operate the Service

* Create and administer accounts
* Authenticate users and enforce access controls
* Provide core product functionality, including AI features that process Customer Content to generate Outputs

### 4.2 Customer support and communications

* Respond to support requests
* Send service-related notices (e.g., security updates, admin notices)
* Send product communications to business contacts (you can opt out of marketing emails)

### 4.3 Security, integrity, and abuse prevention

* Detect, prevent, investigate, and respond to security incidents, fraud, or misuse
* Maintain audit logs and access controls

### 4.4 Improve the Service (without training on Customer Content)

* Analyze operational metrics (e.g., feature usage counts, performance, reliability, error rates)
* Improve product quality, reliability, and user experience
* We do not use Customer Content, Outputs, or Google User Data to train or fine-tune general-purpose AI/ML models. See Section 6.

### 4.5 Sales, marketing, and business operations (website/prospects)

* Provide demos, onboarding, and account management
* Understand website usage to improve our website and communications

## 5) Cookies and Similar Technologies

* We use cookies and similar technologies (e.g., local storage, pixels) to operate our website and support authentication and basic analytics.
* Essential cookies help the website function (e.g., sessions, security).
* Functional cookies remember preferences (where used).
* Analytics cookies may be used to understand website performance and usage (where used).
* You can control cookies through your browser settings. If you block certain cookies, parts of the website may not work. If required by law, we present cookie choices/consent mechanisms.

## 6) AI Features and Data Use for Model Training

Matterfact uses AI features to process Customer Content and generate Outputs.

### 6.1 No training on Customer Content / Outputs

We do not use Customer Content or Outputs to train, fine-tune, or improve any general-purpose AI/ML models.

### 6.2 No training on Google User Data

We do not use Google User Data (including any data obtained through Google Workspace APIs) to train, fine-tune, or improve AI/ML models.

### 6.3 Limited human access

Matterfact does not perform routine human review of Customer Content. Authorized personnel may access Customer Content only as necessary to: provide support requested by a customer, investigate security incidents or suspected abuse, comply with legal obligations, or maintain the Service, and only under access controls and confidentiality obligations.

## 7) Google API Data Use (CASA / Limited Use)

If you (or your organization) connect Google services to Matterfact, we may access Google User Data only to provide the user-facing features you enable and request (e.g., indexing permitted content for search, enabling workflows, or retrieving content to answer questions), consistent with the permissions granted. Matterfact’s use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

In particular:

* Purpose limitation: we use Google User Data only to provide the user-facing features you request and configure.
* No selling / no ads: we do not sell Google User Data and we do not use it for advertising.
* No model training: we do not use Google User Data to train or improve AI/ML models.
* Limited sharing: we share Google User Data only with service providers (“subprocessors”) as needed to provide the Service, under contractual confidentiality and security obligations.
* If your administrator installs or authorizes integrations at an organization level, administrators may be able to access or control integration settings and data access consistent with their Google Workspace policies.

## 8) How We Share Personal Data

* We do not sell Personal Data.
* We may share Personal Data in the following circumstances:

### 8.1 Service providers (subprocessors)

* We use vetted vendors to help us operate the Service (e.g., cloud hosting, observability/logging, customer support tooling, email delivery, identity providers). They are authorized to process Personal Data only to provide services to us and must protect it under contractual confidentiality and security obligations.
* A current list of subprocessors is available upon request at support@matterfact.com.

### 8.2 Business transfers

If we are involved in a merger, acquisition, financing, reorganization, or sale of assets, Personal Data may be transferred as part of that transaction, subject to appropriate safeguards.

### 8.3 Legal obligations and protection

We may disclose Personal Data to comply with law or legal process, to enforce agreements, or to protect rights, safety, and security of Matterfact, our customers, users, or others.

### 8.4 With your instructions or consent

We may share data at your direction (e.g., exporting data, enabling integrations).

### 8.5 Aggregated and de-identified data

We may share aggregated or de-identified information that cannot reasonably identify you (e.g., broad usage statistics).

## 9) Customer-Hosted Deployments (Client Cloud / VPC)

Matterfact may be deployed in a customer-controlled cloud environment (“Customer-Hosted Deployment”), depending on the customer’s purchase and configuration.

In Customer-Hosted Deployments:

* Customer generally controls where Customer Content is stored and processed.
* Matterfact does not host Customer Content outside the customer environment except as expressly authorized (e.g., support artifacts provided by the customer).
* Matterfact may still process limited account, licensing, and support-related Personal Data (e.g., admin contact details, support tickets) as described in this Policy.
* The customer is responsible for security controls in its environment (e.g., IAM, network configuration, backups), except as otherwise agreed in writing.

## 10) Data Retention and Deletion

We retain Personal Data only as long as necessary for the purposes described in this Policy, unless a longer retention period is required by law.

Examples:
* Account data: retained for the term of the customer relationship and a limited period thereafter for legitimate business purposes (e.g., billing, audit, dispute resolution).
* Support data: retained as needed to address support requests and maintain service quality.
* Website/prospect data: retained until it no longer has business value or you request deletion, subject to legal requirements.
* Deletion requests: You may request deletion of Personal Data we control by contacting hello@matterfact.com. We may need to retain certain information to comply with law or for legitimate business purposes (e.g., security, fraud prevention, accounting).

For Customer Content and Outputs, retention and deletion are governed primarily by the customer contract (Terms/Order Form/DPA) and the customer’s instructions, especially in Customer-Hosted Deployments.

## 11) Security

We maintain administrative, technical, and physical safeguards designed to protect Personal Data against unauthorized access, disclosure, alteration, and destruction. Safeguards may include access controls, encryption in transit, logging and monitoring, and least-privilege practices. No security measure is perfect; however, we work to continuously improve our controls and respond to evolving threats.

## 12) International Transfers

Matterfact is headquartered in the United States. Personal Data may be processed in the United States and other locations where we and our service providers operate. Where required, we rely on appropriate transfer mechanisms (such as Standard Contractual Clauses) and implement safeguards designed to protect Personal Data in cross-border transfers.

## 13) Your Rights and Choices

Depending on your location, you may have rights to:
* request access to, correction of, or deletion of your Personal Data;
* object to or restrict certain processing;
* request data portability; and
* withdraw consent where processing is based on consent.

### 13.1 EEA/UK

If you are in the EEA or UK, you may also lodge a complaint with your local data protection authority.

### 13.2 California (CCPA/CPRA)

California residents may have rights regarding access, deletion, correction, and opting out of “sale” or “sharing” of Personal Data. Matterfact does not sell Personal Data.

## 14) Children’s Privacy

The Service is not directed to children, and we do not knowingly collect Personal Data from children under 13 (or under 16 where applicable law requires). If you believe a child provided Personal Data, contact support@matterfact.com.

## 15) Changes to This Policy

We may update this Policy from time to time. If we make material changes, we will post the updated Policy and update the “Last Updated” date. Where required, we will provide additional notice.
